Guy Bradley, JP, aged 57, has been a Director of the Company and its Chairman since August 2021. He is also Chairman of John Swire & Sons (H.K.) Limited and Swire Properties Limited and a Director of Cathay Pacific Airways Limited. He was a Director of the Company from January 2015 to May 2017. He joined the Swire Group in 1987 and has worked with the Group in the Hong Kong SAR, Papua New Guinea, Japan, the United States, Vietnam, the Chinese Mainland, the Taiwan region and the Middle East. He is a chartered surveyor, a fellow of The Royal Institution of Chartered Surveyors and a member of The Hong Kong Institute of Surveyors. He is also Vice Chairman of General Committee of The Hong Kong General Chamber of Commerce and Vice-President of The Real Estate Developers Association of Hong Kong.
David Cogman, aged 49, has been a Director of the Company since August 2017. He is also a Director of John Swire & Sons (H.K.) Limited. He joined McKinsey & Company in 1997 and was a partner in McKinsey’s Hong Kong office. He joined the Swire Group in 2017. He is Chairman of the Board of Governors of The Hong Kong Philharmonic Orchestra.
Patrick Healy, aged 57, has been a Director of the Company since August 2021. He is also Chair of Cathay Pacific Airways Limited and Swire Coca-Cola Limited and a Director of John Swire & Sons (H.K.) Limited and Air China Limited. He was a Director of Swire Properties Limited from January 2015 to August 2021. He joined the Swire Group in 1988 and has worked with the Group in the Hong Kong SAR, Germany and the Chinese Mainland. He is the Director responsible for the Group’s sustainability strategy and the sustainable development office.
Martin Murray, aged 56, has been a Director of the Company (and its Finance Director) since April 2021. He is also a Director of John Swire & Sons (H.K.) Limited and Swire Properties Limited. He was previously a Director and chief financial officer of Cathay Pacific Airways Limited and before that deputy finance director of the Company. He joined the Swire Group in 1995 and has worked with the Group in the Hong Kong SAR, the United States, Singapore and Australia. He is a member of The Institute of Chartered Accountants of Scotland and the Hong Kong Institute of Certified Public Accountants. He is also a council member of The Hong Kong Management Association.
Zhang Zhuoping, aged 51, has been a Director of the Company since April 2020. He is also a Director of John Swire & Sons (H.K.) Limited and Cathay Pacific Airways Limited and Chairman of John Swire & Sons (China) Limited. He spent his early career in investment banking. He was with the Swire Group from 2002 to 2011, spending much of his time in the Chinese Mainland, including as chief representative of John Swire & Sons (China) Limited from 2005 to 2008. He ceased to be employed by the Swire Group in 2011, when he founded a bioengineering company in Beijing.

Terms of Reference
(Latest update: 10 March 2022)

(Amended and restated with effect from 1st January 2019)

1. The Audit Committee (the "Committee") was established on 1st October 1998 pursuant to Article 127 of the Company's Articles of Association.

2. The Committee shall be appointed by the Board from amongst the non-executive directors of the Company and shall consist of not less than three members, a majority of whom should be independent. A quorum shall be two members.

3. The chairman of the Committee shall be appointed by the Board and shall be an independent non-executive director.

4. A former partner of the Company's existing auditing firm shall be prohibited from acting as a member of the Committee for a period of two years from the date of the person ceasing:

(a) to be a partner of the firm; or

(b) to have any financial interest in the firm,

whichever is later.

5. The Finance Director, the Group Internal Audit Manager and a representative of the external auditor shall normally attend meetings. Others may be invited to attend. However, at least twice a year the Committee shall meet with the external auditor without executive Board members present.

6. The Company Secretary or Deputy Secretary shall be the secretary of the Committee and shall keep full minutes of Committee meetings. Draft and final versions of minutes of meetings shall be sent to all committee members for their comment and records, within a reasonable time after the meeting.

7. Meetings shall be held not less than twice a year. The external auditor may request a meeting if it considers that one is necessary.

8. The Committee is authorised by the Board to investigate any activity within its terms of reference. It is authorised to seek any information it requires from any employee and all employees are directed to co-operate with any request made by the Committee.

9. The Committee is authorised by the Board to obtain outside legal or other independent professional advice and to secure the attendance of outsiders with relevant experience and expertise if it considers this necessary.

10. The duties of the Committee shall be:

Relationship with the Company's auditors

(a)    to make recommendations to the Board, for it to put to the shareholders for their approval in general meeting, in relation to the appointment, re-appointment and removal of the external auditor and to approve the remuneration and terms of engagement of the external auditor, and any questions of its resignation or dismissal;

(b)    to review and monitor the external auditor's independence and objectivity and the effectiveness of the audit process in accordance with applicable standards;

(c)    to discuss with the external auditor before the audit commences the nature and scope of the audit and reporting obligations and ensure co-ordination where more than one audit firm is involved;

(d)    to develop and implement policy on engaging an external auditor to supply non-audit services and to report to the Board, identifying and making recommendations on any matters where action or improvement is needed;

(e)    to act as the key representative body for overseeing the Company's relations with the external auditor;

Review of the Company's financial information

(f)    to monitor the integrity of the Company's financial statements, annual report and accounts and half-year report, and to review significant financial reporting judgments contained in them before submission to the Board, focusing particularly on:

(i)   any changes in accounting policies and practices;
(ii)  major judgmental areas;
(iii) significant adjustments resulting from the audit;
(iv)  the going concern assumptions and any qualifications;
(v)   compliance with accounting standards; and
(vi)  compliance with the Listing Rules and legal requirements in relation to financial reporting;

(g) regarding (f) above, (i) to liaise with the Board and senior management and (ii) to consider any significant or unusual items that are, or may need to be, reflected in the reports and accounts and to give due consideration to any matters that have been raised by the Finance Director, the Company Secretary or the auditor;

(h)    to discuss problems and reservations arising from the half-year review and annual audit, and any matters the auditor may wish to discuss (in the absence of management where necessary);

(i)    to review the Company's statement on internal control systems (where one is included in the annual report) prior to endorsement by the Board;

Oversight of the Company's financial reporting system, risk management and internal control systems

(j)    to review the Company's financial controls, risk management and internal control systems;

(k)    to discuss the risk management and internal control systems with management and to ensure that management has performed its duty to have effective systems. This discussion should include the adequacy of resources, staff qualifications and experience, training programmes and budget of the Company's accounting and financial reporting function;

(l)    to consider major investigation findings on risk management and internal control matters as delegated by the Board or on its own initiative and management's response to these findings;

(m)    to ensure co-ordination between the internal and external auditors, to ensure that the internal audit function is adequately resourced and has appropriate standing within the Company and is free from management or other restrictions, and to review and monitor its effectiveness;

(n)    to review the group's financial and accounting policies and practices;

(o)    to review the external auditor's management letter, any material queries raised by the auditor to management about accounting records, financial accounts or systems of control and management's response, and to ensure that the Board provides a timely response to the issues raised in the external auditor's management letter;

(p)    to report to the Board on the matters which fall within these terms of reference;

(q)    to review arrangements employees of the Company can use, in confidence, to raise concerns about possible improprieties in financial reporting, internal control or other matters. The Committee should ensure that proper arrangements are in place for fair and independent investigation of these matters and for appropriate follow-up action;

(r)    to consider other topics, as defined by the Board;

Corporate governance functions

(s)    to develop and review the Company's policies and practices on corporate governance and make recommendations to the Board;

(t)    to review and monitor the training and continuous professional development of directors and senior management;

(u)    to review and monitor the Company's policies and practices on compliance with legal and regulatory requirements;

(v)    to develop, review and monitor the code of conduct applicable to employees and directors; and

(w)    to review the Company's compliance with the Corporate Governance Code set out in Appendix 14 to the Listing Rules and disclosure in the Corporate Governance Report.

11. The Committee should report to the Board, identifying any matters in respect of which it considers that action or improvement is needed, and making recommendations as to the steps to be taken.

12. The secretary shall circulate the minutes of meetings and reports of the Committee to all members of the Board within a reasonable time.

1. The Nomination Committee (the "Committee") is established pursuant to Article 127 of the articles of association of Swire Pacific Limited (the "Company").

2. The Committee shall be appointed by the board from amongst the directors of the Company and shall consist of not less than three members, a majority of whom shall be independent non-executive directors. A quorum shall be two members.

3. The chairman of the Committee shall be appointed by the board and shall be an independent non-executive director.

4. The Committee shall meet at least once in each calendar year.

5. The duties of the Committee are:

(a)    to review the structure, size and composition (including the skills, knowledge and experience) of the board at least annually and make recommendations on any proposed changes to the board to complement the Company’s corporate strategy;

(b)    to identify individuals suitably qualified to become board members and select or make recommendations to the board on the selection of individuals nominated for directorships;

(c)    to assess the independence of independent non-executive directors; and

(d)    to make recommendations to the board on the appointment or re-appointment of directors and succession planning for directors, in particular the chairman.

6. The Committee is authorised by the board to seek independent professional advice at the expense of the Company in order to perform its duties.

(Amended and restated with effect from 1st April 2012)

1. The Remuneration Committee (the "Committee") was established on 13th November 2003 pursuant to Article 127 of the Company's Articles of Association.

2. The Committee shall be appointed by the Board from amongst the non-executive directors of the Company and shall consist of not less than three members, a majority of whom should be independent. A quorum shall be two members.

3. The chairman of the Committee shall be appointed by the Board and should be an independent non-executive director.

4. The Committee shall be supported by the Staff Director of John Swire & Sons (H.K.) Limited (and such executives from his department as he shall consider appropriate), who shall normally attend meetings.

5. The Company Secretary or Deputy Secretary shall be the secretary of the Committee and shall keep full minutes of Committee meetings.

6. The Committee shall meet not less than once a year.

7. The Committee is authorised to seek any information it requires from any employee or director of the Company in order to perform its duties. The Committee should consult the chairman of the Company about its remuneration proposals for other executive directors.

8. In connection with its duties, the Committee is authorised to obtain advice (including independent professional advice) from any person, including professional consultants, whom it regards as competent to give such advice.

9. The Committee shall make recommendations to the Board on the Company's policy and structure for all directors' and senior management remuneration and on the establishment of a formal and transparent procedure for developing remuneration policy.

10. The Committee shall review and approve the management's remuneration proposals with reference to the Board's corporate goals and objectives.

11. The Committee shall exercise the powers of the Board to determine the remuneration packages of individual executive directors and senior management, (including salaries, bonuses, benefits in kind and the terms on which they participate in any share or other incentive scheme and any provident fund or other retirement benefit scheme) taking into consideration salaries paid by comparable companies, time commitment and responsibilities and employment conditions elsewhere in the group.

12. The Committee shall review and approve:

(a) compensation payable to executive directors and senior management for any loss or termination of office or appointment to ensure that it is consistent with contractual terms and is otherwise fair and not excessive; and

(b) compensation arrangements relating to dismissal or removal of directors for misconduct to ensure that they are consistent with contractual terms and are otherwise reasonable and appropriate.

13. The Committee shall make recommendations to the Board on the remuneration of non-executive directors.

14. The Committee should ensure that no director or any of his associates is involved in deciding his own remuneration.

15. The Committee shall report to the Board its activities as the Board may require from time to time.

16. The Committee shall exercise such other powers, authorities and discretions, and perform such other duties, of the Board in relation to the remuneration of the executive directors and senior management as the Board may from time to time delegate to it, having regard to the Corporate Governance Code (the "Code") set out in Appendix 14 to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").

17. In exercising its power, authorities and discretions and performing its duties, the Committee shall take full account of the Code and the Listing Rules.
